James A. Hillebrand, CEO & Chairman of the Board

Mr. James A. Hillebrand, also known as Ja, has been Chairman of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since January 1, 2021 and Chief Executive Officer since October 1, 2018. Mr. Hillebrand served as the President of Stock Yards Bancorp, Inc. and Stock Yards Bank & Trust Company from 2008 until October 1, 2018. He also previously served as Executive Vice President and was responsible for Private Banking and expansion efforts into the Indianapolis and Cincinnati markets. Mr. Hillebrand joined Stock Yards Bank & Trust Company in 1996 and began his career with PNC Bank in 1988. He has been a Director of Stock Yards Bancorp, Inc. since July 21, 2008, and Stock Yards Bank & Trust Company since 1996. Mr. Hillebrand serves as Board Director at Louisville Downtown Development Corporation. He is a graduate of Bellarmine University.

Philip S. Poindexter, President

Mr. Philip S. Poindexter, also known as Phil, has been the President of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since October 1, 2018. He served as the Chief Lending Officer of Stock Yards Bank & Trust Company from 2008 until October 1, 2018. Mr. Poindexter also served as Director of Commercial Lending from 2004 to 2008. His banking career began in 1989 as Commercial Lender for NCNB Bank (now Bank of America) in South Florida. In 1992, he began working for PNC Bank in Louisville as Corporate Banker. He then moved to Jefferson Bank Banking Co., the predecessor of BB&T in Louisville, KY, in 1994 and served as City Executive, managing all commercial banking functions for the Louisville region. He serves as Director of Greater Louisville Inc. Mr. Poindexter is a graduate of Indiana University.

Shannon B. Arvin

Mrs. Shannon Bishop Arvin serves as President and Chief Executive Officer of Keeneland Association, Inc. Mrs. Arvin has served as Director at Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since July 20, 2021. She previously served as Director at Kentucky Bancshares, Inc. since 2020. Prior to this, Mrs. Arvin was a member of the Lexington, Kentucky, law firm of Stoll Keenon Ogden where her practice focused on equine law and estate planning. She has been Secretary and Director at Hospice of The Bluegrass, Inc. since February 2014. Mrs. Arvin has also served as corporate counsel to Keeneland since 2008, and as secretary and member of Keeneland’s Board of Directors since 2015. She is a member of the Fayette County Bar Association, the Kentucky Bar Association, and the American Bar Association. She also serves on the advisory board of the Salvation Army. Mrs. Arvin currently holds the following positions: Trustee of The Lexington School and the Thoroughbred Owners and Breeders Association; Board Member of The Jockey Club, Thoroughbred Racing Associations/Thoroughbred Racing Protective Bureau, and National Thoroughbred Racing Association. Mrs. Arvin earned a Bachelor of Arts from the University of North Carolina - Chapel Hill, High Honors, and a law degree from the University of Kentucky College of Law.

Paul J. Bickel III

Mr. Paul J. Bickel, III is founder and President of U.S. Specialties, a commercial building supply company. Mr. Bickel has served as Director of Stock Yards Bancorp, Inc. and its subsidiary Stock Yards Bank & Trust Company, since December 20, 2017. He has served as the managing member of several real estate development organizations in the Louisville area over the past 30 years. Outside of commercial endeavors, Mr. Bickel has been very active in the Louisville community, serving in a leadership capacity on numerous area non-profit boards. Mr. Bickel earned a bachelor's degree in business administration from Stetson University.

J. McCauley Brown

Mr. J. McCauley Brown, also known as Mac, serves as the President and Chief Executive Officer of the Filson Historical Society. Mr. Brown has served as a Director of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since July 21, 2015. Mr. Brown served as a Vice President and Director of Business Services at Brown-Forman Corp. He began with Brown-Forman in 1972, initially working in spirits sales and then moving into brand management for several brands, including Bolla, Old Forester, and Early Times. He holds positions with the Board of Overseers for the University of Louisville, the Kentucky Historical Society, Louisville Library Foundation, Frazier History Museum, and the Board of Advisors for the University of Louisville School of Business. He serves as a Member of the Corporate Strategy Council for Brown-Forman. He has had extensive involvement with numerous educational, civic, and community organizations throughout his career. Mr. Brown earned a Bachelor of Science degree from Georgetown University and also received a MBA degree from George Washington University.

Allison J. Donovan

Ms. Allison J. Donovan is a Member in Stoll Keenon Ogden's Lexington, KY office and has been with the firm since 2006. Ms. Donovan has served as a Director at Stock Yards Bancorp, Inc. and its subsidiary Stock Yards Bank & Trust Company, since November 2022. She is a member of the Business Services practice with a focus on Mergers & Acquisitions, Banking and Securities & Corporate Governance. She is also a member of the Securities Litigation and Real Estate practices, and coordinates the Small Business Services program in the Lexington office. Ms. Donovan is a graduate of the University of Kentucky College of Law. During law school, she served as the Secretary and the Treasurer of the Moot Court. She also was the administrative editor of the Journal of Natural Resources and Environmental Law. She is honored as a Rising Star by Kentucky Super Lawyers for her many legal accomplishments. The former Regional Director of the Kentucky High School Mock Trial Tournament, she is a member of the Fayette County, Kentucky and American Bar associations. Ms. Donovan currently serves on the board of directors of the Kentucky Bar Foundation.

David P. Heintzman

Mr. David P. Heintzman retired as Chief Executive Officer of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, as of September 30, 2018. From October 1, 2018 through December 31, 2018, he held the position of Executive Chairman. He continued to serve as non-executive Chairman of the Boards of Stock Yards Bancorp, Inc. and Stock Yards Bank & Trust Company, until January 1, 2021. Prior to joining the Bank, Mr. Heintzman worked as a certified public accountant for an international accounting firm. He joined the Bank in 1985 and, prior to his appointment as Chief Executive Officer, held a series of executive positions, including Chief Financial Officer, Executive Vice-President, and President. In January 2005, he assumed the position of Chairman and Chief Executive Officer. Mr. Heintzman was instrumental in the Bank’s growth strategies and profitable execution. His commitment to ethical standards set the example for the Bank and its employees, and his tenure and experience in all areas of the business provide a unique perspective of the business and strategic direction of the Company.

Carl G. Herde

Mr. Carl Gerard Herde serves as Vice President of Finance at Kentucky Hospital Association. Mr. Herde has been a Director of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust, since 2005. He served as an Outside Independent Director of S.Y. Bancorp, Inc. since December 2004. Mr. Herde served as the Chief Financial Officer and Vice President of Baptist Healthcare System, Inc. from 1993 until September 1, 2016. Mr. Herde has served in other financial management positions of Baptist Healthcare System since joining in 1984. He began his business career in Louisville with Touche Ross & Co., the predecessor firm of Deloitte & Touche. Mr. Herde serves as President of the Board of Directors of Assumption High School. He is a Member of the Healthcare Financial Management Association and Leadership Louisville. He is also a Member of the American Institute of Certified Public Accountants and the Kentucky Society of Certified Public Accountants. Mr. Herde earned a Bachelor of Arts degree in Accounting from Bellarmine University.

Stephen Mark Priebe, Lead Director

Mr. Stephen Mark Priebe, also known as Steve, serves as the President of Hall Contracting of Kentucky. Mr. Priebe has served as a Director at Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since August 12, 2012, and has been Lead Director since January 1, 2019. A registered professional civil engineer, he began his career at Hall in 1986. He has had extensive involvement with many civic organizations throughout his career. Mr. Priebe has been a speaker for the Kentucky Transportation Cabinet Disadvantaged Business Enterprise Training Program and is actively mentoring a local electric contractor. He received the Achievement in Construction Award from the Kentucky Society of Professional Engineers in 2003. Mr. Priebe earned a Bachelor of Science from the University of Kentucky in 1986.

Richard A. Lechleiter

Mr. Richard A. Lechleiter, also known as Rich, serves as President and Director of the Catholic Education Foundation of Louisville. He has been a Director of Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since 2007. From February 2002 until his retirement in January 2014, he served as the Executive Vice President and Chief Financial Officer of Kindred Healthcare, Inc., a Fortune 500 healthcare services company based in Louisville. Mr. Lechleiter also served in senior financial positions at other large publicly-held healthcare services companies such as Humana Inc. and HCA, Inc. during his professional financial career spanning nearly 35 years. His extensive experience in business leadership, financial reporting, corporate finance, investor relations, mergers and acquisitions, and corporate governance is valuable to the Board. Mr. Lechleiter earned is B.S.B.A in Accounting from Xavier University.

Edwin S. Saunier

Mr. Edwin S. Saunier has served as Director at Stock Yards Bancorp, Inc. and Stock Yards Bank & Trust Company since July 20, 2021. He serves as the President of Saunier North American, Inc. Mr. Saunier had been an Independent Director of Kentucky Bancshares Inc. since January 1, 2007. He has extensive executive management and financial experience as Owner and President of a moving and storage business. He has extensive knowledge of local communities including serving on numerous local boards of various civic and professional organizations. He holds a degree in Accounting. Mr. Saunier is a member of the Policy Council of Commerce Lexington in Lexington, Kentucky, Past Chairman of the Winchester Clark County Chamber of Commerce in Winchester, Kentucky, founder of Leadership Winchester, and Past President of Thoroughbred Club of America.

John L. Schutte

Mr. Schutte is the Chief Executive Officer of GeriMed, Inc., a nationwide group purchasing organization specializing in long-term care pharmacy services for independent pharmacies that serve long-term care providers, such as nursing homes, assisted living facilities, and hospice, as well as prison populations. Mr. Schutte serves as Director at Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since 2018. In February 2017, he founded MainPointe Pharmaceuticals, a national company that markets and distributes pharmaceuticals as well as over-the-counter products and supplements. He also previously served as Chairman of the Board of VistaPharm, for which he was the largest shareholder, until it was sold in December 2015. Mr. Schutte is also involved in numerous commercial real estate development project in the Louisville area and elsewhere. His entrepreneurial skills, insights, and strong reputation in the Louisville business community are beneficial to the Board.

Kathy C. Thompson

Ms. Thompson has served as a Director at Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company, since 1994. Ms. Thompson joined Stock Yards Bank in 1992 as manager of the Investment Management and Trust Department, at which time the Trust Department had $200 million in assets under management. Under her leadership, the department has grown to over $4.8 billion in assets under management and is one of the most profitable independent trust companies in the country. Prior to joining the Bank, Ms. Thompson practiced estate planning law and worked in a regional bank’s trust department where she specialized in investment management and estate and personal financial planning.

Laura Wells

Mrs. Laura Wells is a journalist who contributes to media outlets such as BBC, CBS, RTE, CTV and Fox. She has served as a Director at Stock Yards Bancorp, Inc. and its subsidiary, Stock Yards Bank & Trust Company since May of 2022. She served on the Commonwealth Bancshares Board from 2016 to 2022 before it was acquired by Stock Yards. She has worked in production and on‐air for Reuters TV and CNBC covering technology and the markets. Previously, Mrs. Wells served as Co‐Founder & CEO of the Turkey office of an international internet startup from 2010 until 2012 when she exited during Series A funding led by Greycroft Partners. Mrs. Wells started her career as an analyst in Institutional Research and Sales at Merrill Lynch's headquarters in New York. She was a co‐founder of the Rebuilding Afghanistan Foundation and has served on many committees for charities including New Yorkers for Children, Love Heals, and the World Wildlife Foundation. Mrs. Wells holds a Bachelor of Arts from the University of Virginia where she was an Echols Scholar graduating cum laude
